FZE
Free Zone Establishment (FZE): A wholly owned entity with a single individual or corporate shareholder.
FZCO
Free Zone Company: two or more shareholders, the standard structure for partnerships and group subsidiaries.
Branch
An extension of a UAE or foreign parent company, carrying out the same activity as the parent rather than a separate legal entity.
CLG
Company Limited by Guarantee: no share capital, used for Single/Multi Family Offices and associations under DMCC’s CLG Regulations 2024.
DMCC sets no fixed statutory minimum paid-up capital, but banks typically expect AED 10,000 to AED 50,000 reflected on incorporation. Every DMCC company must maintain a mandatory physical office, with a flexi-desk the minimum accepted option, and file an annual audit with DMCC. Setting Up a Family Office in DMCC
For founders and families who have built wealth through a DMCC trading or operating company and now want a dedicated structure to manage it, DMCC’s Single Family Office (SFO) licence is purpose-built. An SFO can be incorporated as a free zone LLC or as a Company Limited by Guarantee, must be wholly owned by members of the same family (defined broadly to include bloodline descendants, spouses and adopted children), and its name must end with “SFO DMCC”. The license covers asset and investment management, succession and governance planning, philanthropic administration and day-to-day family affairs, but it cannot be used to offer those services to any family outside the one that owns it.
A Multi Family Office route exists for firms that serve more than one family on a fee basis, structured and licensed differently from the SFO. DMCC’s CLG Package for new family office setups is priced at AED 34,185 (official packages, advance payment in full), separate from the office, flexi-desk or co-working costs that come with most other DMCC licenses.
A Naming Change Every DMCC Company Needs
Since 2 January 2025, every newly registered DMCC company has carried the suffix “FZCO” (or “FZ Branch” for branches) in place of the older “DMCC” suffix that used to close out company names. DMCC gave existing companies an 18-month transition window to update, and both suffixes have been accepted as valid in the meantime. That window closes on 30 June 2026.
Companies still carrying the legacy “DMCC” suffix and that have not yet filed the free name change through the DMCC member portal should treat this as a near-term compliance task rather than something to leave until a license renewal forces the issue.

Compliance and Ongoing Obligations

Annual Audit (Mandatory)
Every DMCC company must file audited financial statements annually with a UAE-registered auditor; DMCC enforces this requirement and will not renew a license without a submitted audit.
Economic Substance Regulations (ESR)
Companies carrying out a relevant activity, including holding, distribution and service centre, IP, headquarters, shipping, fund management, banking and insurance, must file annual ESR notifications and, where applicable, full ESR reports with the FTA; first-violation penalties are AED 50,000 rising to AED 400,000 on repetition.
AML / CFT Compliance
Companies in designated non-financial businesses or professions, including real estate, precious metals, legal, accounting and corporate service providers, must comply with UAE AML and CFT regulations, including goAML registration and transaction reporting where applicable.
FZCO Suffix Transition
Companies still carrying the legacy DMCC suffix in their registered name must complete the free name change through the DMCC member portal before 30 June 2026; complete this before next renewal to avoid complications.
